What Does a Board Director Do?

Board Director is the name of an individual who works to govern a company or non-profit. They are legal representatives of owners (shareholders/stockholders) and are legally responsible for high-level decisions. They also establish policies, decide whether to pay dividends, and determine how much compensation upper management receives.

A competent board member is proficient in their areas of expertise and is able to rapidly learn about an emerging industry however, more than that they should be able to understand and apply abstract concepts such as strategy and innovation. They must be able to challenge the status quo, ask tough questions, and help to build trust within the team. In the past, boards were focused primarily on management oversight but now they are more involved in discussions on strategic initiatives such as risk management and resilience sustainability, technology, and digitization, mergers and acquisitions and the culture and talent.

Ideally, a well-rounded board of directors should be made up of both inside and outside directors. Inside directors are employees or substantial shareholders of the company and are a vital source of insight and knowledge. Outside directors provide valuable experience and relationships to the company.

A solid board is made up of members who are united by the fundamental values and goals and are genuinely concerned about each other. This helps create an effective boardroom and ensures that meetings are productive.
